Terms & Conditions

Standard terms and conditions of sale for Sumworks Management LLC. Last updated August 2026.

This document is provided for general information and should be reviewed by qualified legal counsel before use in a binding engagement.

  1. Scope of services

    Sumworks Management LLC (“Sumworks”, “we”, “us”), Commercial Registration 4030483933, Jeddah, Kingdom of Saudi Arabia, provides advisory and consulting services in strategy, organization, technology and venture development. The specific services, deliverables, timeline and fees for each engagement are set out in a written proposal or statement of work (“SOW”), which prevails over these Terms on matters it expressly addresses.

  2. Engagement and acceptance

    An engagement begins when the client accepts a proposal or SOW in writing, or instructs us to commence work. These Terms are incorporated into every such engagement by reference. The client explicitly waives its own standard terms and conditions, even where drawn up after these Terms; any derogation is valid only if agreed by us in writing.

  3. Client responsibilities

    The client will provide timely and accurate information, reasonable access to relevant people and systems, and prompt decisions where our work depends on them. Our findings and recommendations rely on the completeness and accuracy of the information the client provides.

  4. Fees and payment

    Fees are stated in the applicable proposal or SOW. Unless stated otherwise, invoices are payable within thirty (30) days of the invoice date. If a payment remains outstanding more than sixty (60) days after its due date, Sumworks reserves the right to engage a debt-recovery company; all resulting legal and collection expenses will be borne by the client.

  5. Confidentiality

    Each party will keep the other’s non-public information confidential and use it only to perform or receive the services. This does not apply to information that is or becomes public through no fault of the receiving party, or that must be disclosed by law or a competent authority.

  6. Intellectual property

    Custom deliverables prepared for the client transfer to the client upon full payment of the related fees. Sumworks retains ownership of its pre-existing methods, frameworks, tools and know-how, and may use the general skills and experience gained during an engagement.

  7. Warranties and liability

    We perform the services with professional skill and care. To the extent permitted by law, Sumworks’ total liability arising from an engagement is limited to the fees paid for that engagement, and we are not liable for indirect, incidental or consequential loss, including lost profits or business interruption.

  8. Claims

    To be admissible, any claim must be notified to Sumworks by recorded delivery to its registered office within eight (8) days of the delivery of the relevant deliverable or service.

  9. Term and termination

    Either party may terminate an engagement on written notice as set out in the SOW. On termination, fees for services properly performed up to the termination date remain due and payable.

  10. Governing law

    These Terms and all contractual relations between the parties are governed exclusively by the laws of the Kingdom of Saudi Arabia. The competent courts of Jeddah have jurisdiction over any dispute.
